Public Offer

This Public Offer Agreement (hereinafter referred to as the "Agreement") constitutes a legally binding agreement between you (hereinafter referred to as the "User") and Coffee T (hereinafter referred to as the "Company"), governing your use of the mobile application "Coffee T" (hereinafter referred to as the "App"). By downloading, installing, accessing, or using the App, you agree to be bound by the terms and conditions of this Agreement.

1. General Provisions

1.1. Scope of the Agreement


This Agreement sets out the rights and obligations of the User and the Company regarding the use of the Coffee T App, its features, and associated services. The primary purpose of the App is to help Users find and arrange real-life meetups in coffee shops or other venues based on shared interests, hobbies, and professions.

1.2. Acceptance of the Offer

By downloading, installing, or using the App, the User expressly accepts this public offer in its entirety, without any modification, and agrees to comply with its terms. If you do not agree with any provision of this Agreement, you must cease using the App immediately.

1.3. Modifications


The Company reserves the right, at its sole discretion, to amend or replace any part of this Agreement at any time. The most current version of this Agreement will be posted within the App or on the official website. Continued use of the App following the posting of any changes constitutes acceptance of those changes.

2. Eligibility

2.1. Legal Age

By accepting this Agreement, the User represents and warrants that they are at least the age of majority in their jurisdiction, or have obtained valid parental/guardian consent where required.

2.2. Personal Use Only

The App is intended for personal, non-commercial use. Users may not use the App for any illegal or unauthorized purpose.

3. Registration and User Accounts

3.1. Account Creation


To access certain features of the App, you may be required to create a User account. By creating an account, you agree to:

• Provide accurate, current, and complete information.
• Update your account information promptly if there are any changes.
• Maintain the security of your account credentials and not share them with others.

3.2. Account Responsibilities


You are solely responsible for any and all activities that occur under your account. If you suspect any unauthorized use of your account, you must immediately notify the Company.

4. Services and Functionality

4.1. Meeting Arrangements


Coffee T provides tools to facilitate arranging real-life meetups in coffee shops or other venues. Users can:

• Select their hobbies, professions, and interests.
• Find potential conversation partners or groups based on shared preferences.
• Create or join meetup events in local coffee shops.
• Rate venues and fellow participants after meetups.

4.2. User Conduct


You agree to behave respectfully toward other users and venues. The Company is not liable for any user misconduct, including offensive, harmful, or illegal actions by any party.

4.3. Accuracy of Information


The Company does not guarantee the accuracy, completeness, or usefulness of any content or information posted by Users, including details about coffee shops or user profiles.

5. Payments and Fees

5.1. General


The Company may offer free or paid features. The Company reserves the right to introduce or modify payment structures, subscription fees, or other charges for certain features. Any applicable fees will be clearly disclosed in the App before the User incurs any obligation.

5.2. Refunds


Refunds, if any, will be provided at the sole discretion of the Company and in accordance with applicable laws.

6. Intellectual Property

6.1. Ownership


All intellectual property rights to the App, including but not limited to trademarks, service marks, logos, software, and content (excluding User Content), are the property of the Company or its licensors.

6.2. License Grant


Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App on a compatible device for personal, non-commercial purposes.

6.3. User Content

• Users may upload, post, or otherwise share text, images, or other materials within the App.
• By sharing content, the User grants the Company a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display the content for the purpose of providing and improving the App’s services.

7. Privacy and Data Protection

7.1. Privacy Policy


Use of the App is also governed by our Privacy Policy, which is incorporated herein by reference. By using the App, you consent to the collection, storage, and processing of your personal data as outlined in the Privacy Policy.

7.2. Data Security


While the Company implements reasonable security measures to protect User data, no method of transmission over the internet or electronic storage is completely secure. The Company disclaims any liability for unauthorized access or hacking attempts.

8. Limitation of Liability

8.1. No Warranty


The App is provided on an “as is” and “as available” basis, without warranties of any kind. The Company does not warrant that the App will meet your expectations, be error-free, or be available on a continuous basis.

8.2. User’s Responsibility for Safety


Users are solely responsible for taking appropriate safety precautions when arranging real-life meetups. The Company is not responsible for any personal injury, property damage, or other harm that may result from or in connection with using the App.

8.3. Indirect Damages


To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use or inability to use the App.

9. Termination

9.1. Termination by User


You may stop using the App and terminate this Agreement at any time by deleting your account (if applicable) and ceasing further use of the App.

9.2. Termination by Company


The Company reserves the right to suspend or terminate your access to the App at any time, without notice or liability, for any reason, including a breach of this Agreement.

9.3. Effect of Termination


Upon termination, all licenses granted to you shall immediately cease, and you must discontinue use of the App. The Company shall not be liable for any losses or damages resulting from the termination of your access to the App.

10. Governing Law and Dispute Resolution

10.1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Applicable Jurisdiction], without regard to its conflict of law provisions.

10.2. Dispute Resolution


Any dispute arising out of or related to this Agreement shall be settled through good-faith negotiations. If such negotiations fail, the dispute may be referred to the competent courts of [Applicable Jurisdiction], unless otherwise stipulated by mandatory law.

11. Miscellaneous

11.1. Entire Agreement


This Agreement, together with the Privacy Policy and any other legal notices published by the Company, constitutes the entire agreement between you and the Company regarding the App and supersedes all prior or contemporaneous written or oral agreements.

11.2. Severability


If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

11.3. No Waiver


The Company’s failure to enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. 11.4. Assignment


You may not assign or transfer this Agreement, by operation of law or otherwise, without the prior written consent of the Company. The Company may freely assign this Agreement in its sole discretion.
